Hoche Avocats advised the shareholders of Bouvier, a specialist in particular in fire protection, in the context of the merger of the company with the Batisanté group.
The company Bouvier Sécurité Incendie, which employs around 400 people, generated a turnover of nearly 40 million euros last year. The new entity created with the Batisanté group will have more than 1,000 employees and should generate nearly 100 million euros in revenue.
This operation gave rise to a reinvestment by the managers, as well as some of the main executives of Bouvier Sécurité Incendie, of part of their sale proceeds in the holding company holding Batisanté alongside LGT Capital Partners, its majority shareholder. since 2011.
As part of this operation, a new financing package was put in place to finance this acquisition, with a banking pool composed in particular of BNP Paribas, Société Générale, Caisse d’Epargne Ile-de-France, Banque Palatine and CIC, for a total amount of 70 million euros.
