Hoche Avocats advises the two founding directors Eric Renard and Xavier Padovani of La Phocéenne de Cosmétique (best known for its brands Le Petit Olivier and Lovea), in connection with the acquisition of a stake by Azulis Capital together with BNP Paribas Développement

In the context of this transaction, the two founding directors Eric Renard and Xavier Padovani of La Phocéenne de Cosmétique retain a large majority stake and associate the management team.

Founded in 1996 by Eric Renard and Xavier Padovani, La Phocéenne de Cosmétique designs, formulates and distributes made in France natural hygiene and beauty products under the Le Petit Olivier and Lovea (acquired in 2018) brands. The Group currently has a product portfolio of nearly 155 references of soaps, shower gels, shampoos, skincare products and sunscreens made from natural ingredients.

The company has built its development on a value proposition that combines product performance (effectiveness, comfort and sensoriality) with naturalness attributes (maximization of the proportion of natural ingredients, elimination of controversial substances) at affordable prices. The CSR policy, deeply rooted in the company’s DNA, is at the heart of the development strategy (sourcing of responsible and sustainable ingredients, local manufacturing, reduction and greening of packaging, protection of biodiversity, transparency approach).

With 98 employees, the company has adopted a “fabless” model while integrating the key components of its value chain (R&D: design/formulation/product testing, marketing, distribution and logistics). The products are distributed in supermarkets and on the Internet.

Thanks to this partnership, La Phocéenne de Cosmétique intends to accelerate its development.
